Terms and Conditions

Welcome to Agbogidiezike Technology Hub (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our website and the services provided by our divisions DeveHostings and AfriGlade. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
We provide a range of technology services including but not limited to:
- Web hosting and the setup of independent web hosting businesses (cPanel, CyberPanel, Plesk)
- Web design and web development
- Content Management Systems (WordPress, Shopify)
- Database management (MongoDB, PostgreSQL, MySQL, Supabase, Firebase, etc.)
- AI applications, AI agents and Model Context Protocol (MCP) solutions
- Cloud infrastructure services
- Virtual Private Server (VPS) provision and OS installation guidance
- Remote Desktop Protocol (RDP) solutions
Specific scope, deliverables, timelines and pricing for any engagement will be set out in a separate proposal, quotation or service agreement.
2. Accounts and Access
When you purchase hosting, VPS, RDP or related services, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
3. Payments and Billing
- Fees for services are as quoted in our proposals or published packages.
- Hosting, VPS and recurring services are typically billed in advance (monthly, quarterly or annually).
- Project-based work (design, development, AI builds, etc.) may require an upfront deposit, with the balance due on milestones or completion.
- Late payments may result in suspension of services after reasonable notice.
- All prices are in Nigerian Naira (NGN) unless otherwise stated, and may be subject to applicable taxes.
4. Acceptable Use
You agree not to use our services for any unlawful, harmful or abusive purpose, including but not limited to:
- Hosting or distributing malware, phishing sites or illegal content
- Spamming, phishing or unauthorized bulk messaging
- Activities that violate the rights of others or applicable Nigerian or international law
- Attempting to compromise the security or integrity of our systems or other customers
We reserve the right to suspend or terminate services that violate this policy without prior notice in cases of severe abuse.
5. Intellectual Property
Unless otherwise agreed in writing:
- Custom code, designs and deliverables created specifically for you become your property upon full payment.
- Our pre-existing tools, frameworks, templates, methodologies and branding remain our intellectual property.
- You grant us a limited license to use your name and logo for portfolio and marketing purposes unless you opt out in writing.
6. Service Levels and Support
We strive for high availability and responsive support. Specific Service Level Agreements (SLAs), if any, will be stated in your service agreement. Support is provided during normal business hours (Monday–Friday, 9:00–18:00 West Africa Time) unless a premium support plan is purchased.
7. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability arising out of any service engagement shall not exceed the fees paid by you for the specific service in the preceding twelve (12) months.
- We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities.
- We are not responsible for third-party services, software licenses, or outages beyond our reasonable control.
8. Termination
Either party may terminate a service engagement according to the terms of the relevant agreement. Upon termination:
- You remain responsible for all fees incurred up to the effective termination date.
- We will provide reasonable assistance for data export where applicable (subject to any outstanding balances being cleared).
- We may delete customer data after a reasonable retention period following termination.
9. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party and to use it only for the purposes of the engagement, except where disclosure is required by law.
10. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Enugu State, Nigeria, unless otherwise agreed in a specific service contract.
11. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.
